How to make win-win software development contracts with vendors

A software development contract allows you to keep the code you created during the project. In some jurisdictions, we may retain all developments that may be considered the property of our customers.

Software development is the process by which developers use their programming knowledge and skills to create computer software according to company-specified specifications.

1/ Types of software development contracts:

Whether you work as a freelance software developer or run a software development company, you face many challenges and risks. You have to constantly update your software and technology, deal with intellectual property issues, and deal with customers who don't know how the final product is built or whose needs aren't met quickly. Before deeply understanding the types of software development contracts, we will walk you through the definition of a software development contract.

What is a software development contract?

A software development contract is a contract between a company and a software developer, in which the company outlines its concepts and requirements. The developer then builds the software based on the deadline set by the company.

Such agreements are usually essential for software companies that employ developers to create computer software for commercial and personal use. Therefore, it is essential to clarify the scope of rights for both developers and companies regarding software.

So, how many types of software development contracts do we have? Three, in total: fixed price, time and materials (T&M), and a dedicated team.

The selection process is easy. It depends on the length, scope, and budget of the project. It also depends on additional settings, which we will discuss later. The same stages of the development process are involved regardless of the contract type chosen:

Quote → Proposal → Contract → Discovery stage → Development → Test → Release → Maintenance

2/ Fixed Price:

This is an ideal answer for initiatives that last as long as two months. The mission has clean documentation, a described mission scope, phrases and conditions, and a deadline.

The perks are obvious: time-clever will have it while you expected. If you planned to buy your new piece of software on your mother-in-law's birthday, it will be released on that day with no surprises.

We will use the generation we have used previously (see them as templates) for this agreement type, and thus we will supply your mission quickly. However, the very nature of the mission implies that each of the necessities is given at the start of it, so there isn't a lot of flexibility here.

Your proposal includes

  • Final price and schedule for the project.
  • Project assumptions (the conditions under which the project is developed).
  • Risk assessment and mitigation plans (15–20%) Fixed-price contract details (most of which are described above). What you get with the package (weekly demos, chats with programmers, etc.)
  • After reading and accepting the proposal, you can proceed to build the project.

If you don't have some of these (or feel the need to adjust your project during the process), another type of contract may be more suitable.

3/ Dedicated Team:

This meets the needs of large projects (3 months or longer) that require an expert team. Hire a group of dedicated professionals to become your team. By choosing this type of contract, you can keep track of your project. You can also directly participate in dubbed conferences and retrospectives. If you want flexibility, this is the place.

So for projects:

  • 3 months or more.
  • Requires a full-time professional team.
  • You want to participate in dubbing and retrospectives and have a flexible budget.
  • This has non-standard features.

We recommend that you choose a dedicated type software development contract.

4/ Time & Material Software Development Contract

If your project is not large enough for a "dedicated team" approach, and the scope of a "fixed price" contract is not well defined, what type of contract is best? It's your turn.

If the project lasts a month or two, I don't have a clear idea of ​​future software features. You are open to ideas that improve the bottom line. "Time and materials" is your choice.

For projects:

  • 1-2 months.
  • Have no clear idea about its function.
  • May change the requirements if a better idea is suggested.

Fixed Price vs. Time and Material

So what are the primary variations among the Fixed Price and Time & Material sorts of settlement? T&M has flexibility in preference to a fixed price.

Do you need something redone? In time and materials, you've got it.

Changes in requirements? No problem; with the T&M settlement, we're going to adapt to your needs.

The Most Important Practical Tips About Contract Types

Avoid using one type of contract for all situations, and adjust the contract template to your level of knowledge about the project.

If you're a startup building an MVP, don't settle for a fixed-price contract. Predefining the exact scope of a project is impossible. It is very likely that the range will change, and you will lose the benefits of the fixed-price contract.

If you consider setting a budget cap that the buyer will pay for the exact number of hours of service provided by the vendor (as in a T&M contract), then the parties will not allow the buyer to be willing to pay for the vendor's service provider. You also set a fixed amount to pay in total.

Implement the right to review the quality of service after each sprint of the contract. This helps monitor the quality of development.

This kind of agreement is similar to a hard-and-fast price range agreement, except that it gives an incentive for delivery. As a result, it provides additional motivation for a software developer to complete tasks correctly and is beneficial for customers working under a tight deadline.
